Roster Speaker Agreement

Between Speaking for Success and approved third-party speakers. Summary template — the executed version is issued when your profile is approved.

1. Parties

This agreement is between Speaking for Success, a product of BMEC Services LLC (the "Platform"), and the approved third-party speaker named on the signature page (the "Speaker").

2. Independent contractor

The Speaker is an independent contractor, not an employee, partner or agent. The Speaker is responsible for their own taxes, insurance and business expenses.

3. Vetting and listing

Listing on the roster follows review and approval. The Platform may pause or remove a listing where profile information is inaccurate, feedback is poor, or conduct standards are not met.

4. Engagements and acceptance

Open engagements appear in the Roster Room. Expressing interest is not a commitment; accepting an engagement is binding. First acceptance wins. Once accepted, the Speaker delivers the engagement on the agreed date, format and outcome.

5. Fee split

The Speaker receives 75% of the agreed engagement fee. The Platform retains 25% as its share for sourcing, contracting, client management and payment handling. The split applies only to engagements sourced through the Platform. Direct Speaking for Success bookings are delivered by the Platform and are not subject to any split — the Platform retains 100% of those fees.

6. Payment

The Platform invoices the client and pays the Speaker's 75% share within 15 days of client payment clearing. Travel and expenses reimbursed by the client are passed through in full and are not subject to the split.

7. Cancellation by the Speaker

If the Speaker cannot deliver an accepted engagement, they must notify the Platform immediately and assist in the handover. Repeated late cancellation is grounds for removal from the roster.

8. Non-circumvention

For 12 months after an introduction, the Speaker will not contract directly with a client introduced by the Platform for work of the same nature without routing the booking through the Platform.

9. Conduct and standards

The Speaker will deliver original content, prepare with the client, meet call times, and represent the roster professionally. Discriminatory, misleading or unsafe content is grounds for immediate termination.

10. Confidentiality, liability and term

Client information is confidential and used only for the engagement. Each party's liability is limited to fees paid for the engagement. Either party may end this agreement with 30 days' notice; accepted engagements survive termination.
