Client Engagement Agreement
Between Speaking for Success (BMEC Services LLC) and the booking client. Summary template — the executed version is issued with your booking confirmation.
1. Parties
This agreement is between Speaking for Success, a product of BMEC Services LLC (the "Provider"), and the organisation named on the signature page (the "Client").
2. Engagement
The Provider will deliver the keynote, workshop, panel or session described in the booking confirmation on the agreed date, in the agreed format and location. Content is tailored to the audience outcome stated by the Client.
3. Speaker assignment
The Provider may deliver the engagement directly or assign an approved roster speaker. Direct engagements are delivered by Speaking for Success and the Provider retains 100% of the fee. Roster assignments are governed separately by the Roster Speaker Agreement; the Client's fee and terms are unchanged either way.
4. Fees and payment
The agreed fee is stated in the booking confirmation. Unless otherwise agreed, 50% is due on signature to hold the date and the balance is due within 15 days of delivery. Fees are quoted in USD and exclude applicable taxes.
5. Travel and expenses
For in-person engagements outside the speaker's home metro, the Client covers economy or better airfare, ground transfer, and one or two nights of accommodation, either booked directly or reimbursed at cost against receipts.
6. Recording and use of materials
The Client may record the session for internal use. Public distribution, resale, or excerpting for marketing requires written consent. Slides and handouts remain the intellectual property of the Provider or the assigned speaker and may be shared with attendees for personal use.
7. Cancellation and rescheduling
Cancellation more than 30 days before the event: deposit is credited toward a future date within 12 months. Within 30 days: the deposit is non-refundable. Within 7 days: the full fee is due. The Provider will offer a comparable replacement speaker where circumstances prevent delivery, or refund all fees paid if no replacement is accepted.
8. Force majeure
Neither party is liable for failure to perform caused by events beyond reasonable control. The parties will reschedule in good faith to a mutually agreeable date within 12 months.
9. Confidentiality
Each party will keep non-public information disclosed for the engagement confidential and use it only to deliver or receive the engagement.
10. Liability and governing law
The Provider's total liability is limited to the fees paid under this agreement. The agreement is governed by the laws of the state in which BMEC Services LLC is organised.
